RE: Use of the NEWFORM SpA logo, images and texts
NEWFORM SpA grants free use of its logo, product images and texts, the full availability of which is bestowed under the following conditions:
MAMMA MIA JOINT STOCK COMPANY undertakes to make use of the brand/name “NEWFORM”, the product images as well as any texts, exclusively and, if necessary, reproducing such in its own advertising material (leaAets, website, Ayers, magazine publications, etc.), respecting the layout, graphics characters, colours and proportions of the original and the type of texts as well as images.
MAMMA MIA JOINT STOCK COMPANY acknowledges that the brand/name “NEWFORM” remains the exclusive property of the company NEWFORM SpA and that all rights deriving from its use pertain to this company, additionally undertaking not to use the brand/name in its own trade name and/or in its own insignia, and finally, not to register and/or use brands/names similar to or confusable with the same.
NEWFORM SpA is the sole owner of the rights to the images shared with MAMMA MIA JOINT STOCK COMPANY and guarantees that such materials do not infringe upon the rights of third parties in any way, undertaking to indemnify and hold harmless MAMMA MIA JOINT STOCK COMPANY in the event of disputes on the use or reproduction of the materials by third parties.
Any use of the brand/name, texts and images that does not comply with this provision shall result in the immediate termination of this Agreement, without prejudice to compensation for any consequential damages.
It is understood that the right to display and use said distinctive markings shall cease upon termination of the business relationship between the parties, for whatever reason and irrespective of any dispute as to the termination thereof.
At any time and at its sole discretion, NEWFORM SpA may terminate this Agreement with 30 days’ notice and thus discontinue the use of the “NEWFORM” brand/name, without NEWFORM SpA being held liable for such conduct, thereby releasing the company from any and all liability, including for damages, in this respect.
